1. Who we are

These Terms and Conditions (the “Terms”) are a legal agreement between you and Sameru Arts, Inc., an Ontario, Canada corporation operating as “Side Quest” (“Side Quest,” “Sidequest,” “we,” “us,” or “our”). They govern your access to and use of the website at sidequestgo.com and any related services, features, content, applications, and subscriptions we offer (collectively, the “Services”).

2. Acceptance of these Terms

By creating an account, purchasing a subscription, or otherwise accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

We may update these Terms from time to time as described in Section 19. Your continued use of the Services after the updated Terms take effect constitutes acceptance of the changes.

3. Eligibility

You must be at least eighteen (18) years old and legally capable of entering into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and references to “you” include that business.

4. The Services

Side Quest operates a location-based quest and game platform that allows end users (“Players”) to explore real-world locations and allows businesses (“Merchants”) to appear as quest stops, “Ad” locations, and destinations on the platform. We offer Merchants subscriptions that grant access to listing, promotional, and platform features for the duration of an active subscription.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or to any third party for any such change.

5. Accounts

  • You must register an account to access paid features. You agree to provide accurate, current, and complete information and to keep it up to date.
  • You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use.
  • One person or legal entity may not maintain more than one account without our prior written consent.
  • We may refuse registration, suspend, or terminate accounts at our discretion, including for violations of these Terms.

6. Merchant subscriptions, fees, and billing

6.1 Plans and pricing

Current subscription plans, features, and prices are displayed on the Site at the point of purchase. All prices are stated in the currency displayed at checkout and, unless stated otherwise, are exclusive of applicable taxes (including Canadian GST/HST/PST, U.S. sales tax, EU/UK VAT, and other duties), which will be added where required.

6.2 Billing and auto-renewal

Merchant subscriptions are billed on a recurring basis (monthly unless stated otherwise) through our payment processor (Stripe or PayPal). By subscribing, you authorize us and our payment processor to charge the payment method you provide on the then-current price and cadence for your plan until you cancel.

Subscriptions renew automatically at the end of each billing cycle at the then-current renewal rate unless you cancel before the renewal date.

6.3 Cancellation

You may cancel your subscription at any time from your account dashboard or by emailing [email protected]. Cancellation takes effect at the end of your current paid billing period; you will retain access until that date and will not be billed for subsequent periods.

6.4 Refund policy

All fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused portions of a subscription, downgrades, or accounts cancelled before the end of a billing period, except where required by applicable law. If you believe you have been charged in error, contact us at [email protected] within thirty (30) days of the charge and we will investigate in good faith.

6.5 Failed payments and changes

If a payment fails, we may retry the charge, suspend paid features, and/or terminate the subscription. We may change prices, plans, and features at any time; price changes affecting your subscription will take effect at your next renewal after we provide notice (at least thirty (30) days in advance by email or in-product notice).

6.6 Taxes

You are responsible for all applicable taxes, duties, and levies on your purchase, except for taxes on our net income.

7. Payment processing by third parties

Payments are processed by Stripe, Inc. and/or PayPal Holdings, Inc. By providing payment information, you agree to the applicable payment processor’s terms of service and privacy policy. We do not store full card or bank details on our servers. We are not responsible for errors or delays caused by a payment processor.

8. Acceptable use

You agree not to, and not to allow any third party to:

  • Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose;
  • Post content that is illegal, infringing, defamatory, obscene, hateful, sexually explicit, or invasive of another’s privacy;
  • Submit false, misleading, or deceptive listings, reviews, or promotional content;
  • Upload viruses, malware, or other malicious code, or attempt to disrupt, disable, or compromise the Services;
  • Scrape, harvest, or bulk-extract data from the Services without our written permission;
  • Reverse engineer, decompile, or attempt to derive source code from the Services except to the extent expressly permitted by law;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Use the Services to harass, threaten, stalk, or harm any other person, or to direct Players to unsafe, restricted, or private locations;
  • Violate the rights of any third party, including intellectual property, privacy, or publicity rights;
  • Circumvent access controls, rate limits, or security measures;
  • Use the Services to compete with or benchmark us without our express written consent.

We may investigate and take action (including removing content and suspending or terminating accounts) if we reasonably believe you have violated this Section.

9. Merchant content and license

You retain ownership of the content you submit (“Merchant Content”), including business descriptions, images, logos, and location data. By submitting Merchant Content, you grant Sameru Arts, Inc. a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and modify the Merchant Content solely for the purpose of operating, promoting, and improving the Services, including displaying your listings to Players.

You represent and warrant that (a) you own or have the necessary rights to the Merchant Content, (b) the Merchant Content is accurate and does not mislead Players, and (c) the Merchant Content does not infringe or violate any third-party right or any law.

You are solely responsible for your Merchant Content. We may remove or refuse to display Merchant Content that we believe, in our sole discretion, violates these Terms or may expose us to liability.

10. Our intellectual property

The Services, including all software, text, graphics, logos, trademarks, and design, are owned by Sameru Arts, Inc. or its licensors and are protected by Canadian and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended purpose. All rights not expressly granted are reserved.

“Side Quest,” “Sidequest,” and our logos are trademarks of Sameru Arts, Inc. You may not use them without our prior written consent.

11. Third-party services

The Services integrate or link to third-party services (including Stripe, PayPal, Google reCAPTCHA, Google Analytics, Meta, OpenStreetMap/Nominatim, and Merchants’ own websites). We do not control and are not responsible for third-party services. Your use of them is governed by their own terms and privacy policies.

12. Location-based features and real-world safety

The Services facilitate real-world activities at physical locations. You are solely responsible for your safety, your surroundings, and compliance with all applicable laws while participating in or hosting quests. Do not trespass, enter dangerous or restricted areas, disregard traffic or transit rules, interact with location pins while operating a vehicle, or engage in any activity that could endanger yourself or others. We do not verify the safety, legality, accessibility, or accuracy of any location listed on the Services. Merchants are responsible for ensuring their premises are safe, accessible, and open to the public during any listed hours.

13. Feedback

If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use it for any purpose, without obligation to you.

14. Disclaimers

To the fullest extent permitted by law, the Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, or error-free performance. We do not warrant that the Services will meet your requirements, that any defects will be corrected, or that results obtained from the Services will be accurate or reliable.

We make no warranty regarding Merchant Content, Player behavior, or any interaction between Merchants, Players, and third parties that arises from the Services.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our warranties are limited to the minimum extent permitted by law.

15. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Sameru Arts, Inc., its directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, business opportunity, or substitute services, arising out of or relating to these Terms or the Services, whether based in contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid to us for the Services during the six (6) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; in those jurisdictions, our liability is limited to the minimum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Sameru Arts, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Services; (b) your Merchant Content; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right; or (e) your conduct at any physical location listed on the Services.

17. Suspension and termination

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we believe you have violated these Terms, created risk or legal exposure for us, or for any other reason in our reasonable discretion. You may terminate these Terms at any time by cancelling your subscription (if any) and ceasing use of the Services.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including Sections 6.4 (Refund policy), 9 (Merchant content and license), 10 (Our intellectual property), 13 (Feedback), 14 (Disclaimers), 15 (Limitation of liability), 16 (Indemnification), 18 (Governing law and disputes), and 21 (General).

18. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in that province, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to the informal dispute resolution step below, the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, and waive any objection based on inconvenient forum.

18.1 Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will try to resolve the dispute by contacting you by email. If a dispute is not resolved within sixty (60) days of submission, either party may bring a formal proceeding.

18.2 Class action waiver (where permitted)

To the extent permitted by applicable law, each party agrees to bring disputes only in its individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. This waiver does not apply where prohibited by law.

19. Changes to these Terms

We may change these Terms from time to time. When we make material changes, we will post the updated Terms on this page with a new “Last updated” date and, where required by law or reasonable in the circumstances, notify you by email or in-product notice. Changes take effect on the date posted unless we indicate otherwise. Your continued use of the Services after the effective date constitutes acceptance. If you do not agree to a change, you must stop using the Services and cancel your subscription.

20. Notices

We may provide notices to you by email to the address associated with your account, by posting on the Site, or by in-product message. You must send legal notices to us in writing to Sameru Arts, Inc., 215 Niagara St #100, Toronto, ON M6J 2L2, Canada, with a copy by email to [email protected].

21. General

  • Entire agreement. These Terms, together with the Privacy Policy and any plan- or feature-specific terms we post, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements on the subject.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving intent.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.
  • Relationship. No agency, partnership, joint venture, or employment is created by these Terms.
  • Third-party beneficiaries. There are no third-party beneficiaries to these Terms.
  • Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, labor disputes, infrastructure failures, cyberattacks, pandemics, or government actions.
  • Headings. Headings are for convenience only and do not affect interpretation.
  • Language. The parties have expressly requested that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que les présentes Conditions et tous les documents qui s’y rattachent soient rédigés en anglais.
